Please read them carefully. By accepting, you're telling us that you are of legal age (which means you are either legally emancipated, or have reached the age of majority as defined in your jurisdiction.

These terms and conditions also outline the rules and regulations surrounding the use of UpScale Marketing Solutions website and the provision of advertising services that it provides to its clients.

Rights, Responsibilities and Obligations of the Client

• It is the Client's responsibility to ensure that they have the legal rights (including copyright in any content used in their videos) to any videos they wish to promote.
• The Client is obliged to comply with the requirements of UpScale Marketing Solutions as set out in these terms and conditions, as well as with all legal requirements and laws regarding intellectual property for advertising material.
• The Client will not change or delete any video to be advertised or already advertised.
• The client is obliged to pay for advertising services 100% in advance before starting the campaign.
• Client may not advertise goods/works or services that are in violation of YouTube's rules and regulations.
• The client undertakes not to abuse the possibilities of the Service, including technical possibilities, any other features of the Service.
• The client guarantees that they will not use any third party software or website to manipulate their YouTube metrics by buying fake views, likes, comments or subscribers for the audio/video/channel that they are promoting on our website.

Rights, Responsibilities and Obligations of UpScale Marketing Solutions

• UpScale Marketing Solutions ensures the provision of advertising services to the client in accordance with the conditions set forth in this agreement
• UpScale Marketing Solutions provides advertising services to the best of its knowledge
• UpScale Marketing Solutions reserves the right to cancel or stop your campaign at any time without reason. Any unused ad budget within your campaign will be refunded to you within 30 business days of the date your ad campaign is canceled or stopped.
• In the event that you do not pay for the advertising services provided, UpScale Marketing Solutions reserves the right to immediately cancel or stop your campaign until payment is made.
• UpScale Marketing Solutions may make adjustments to the campaign in any way that UpScale Marketing Solutions believes will help improve the performance of the campaign.
• If you violate the terms set forth in this Agreement, UpScale Marketing Solutions reserves the right to immediately suspend its advertising services to you by notifying you, and also to demand full reimbursement (compensation) for the losses caused by your violation.
• UpScale Marketing Solutions reserves the right to temporarily suspend or suspend its advertising services for technical, technological or other reasons that may prevent the provision of advertising services for the time it may take to resolve any problems.
• UpScale Marketing Solutions reserves the right to refuse advertising services to anyone with or without reason.

Costs and Payments for Marketing/Advertising Services

• Using the UpScale Marketing Solutions website, the client can calculate and determine the advertising costs themselves based on the desired number of views they would like to generate for their video.
• The price of each advertising campaign is determined by the number of views. The cost per impression is pre-determined by UpScale Marketing Solutions based on industry averages and fixed in the system.
• UpScale Marketing Solutions will only start its advertising services after full payment.
• The client must pay 100% of the advertising budget in advance.
